1. Introduction

These Terms and Conditions ("Agreement") govern your use of the unrepped website, mobile applications, and services (collectively, the "Platform"). This Agreement is a legally binding contract between you and unrepped.

2. Platform Purpose

unrepped serves as a digital marketplace that facilitates connections between models and brands. The platform enables users to discover opportunities, communicate, and enter into agreements directly. However, unrepped does not employ models, act as an agency, or participate in any contract negotiations outside of providing the platform.

3. User Eligibility

By using unrepped, you confirm that:

You are at least 18 years old, or if under 18, you have obtained parental or legal guardian permission to use the platform.

You have the legal capacity to enter into agreements.

You will provide accurate, current, and complete information.

4. User Responsibilities

Models: You are responsible for maintaining the accuracy of your portfolio, availability, and pricing. You must comply with all local and international regulations related to your work. If you are represented by a talent agent, you are solely responsible for honoring any contractual obligations with your agency. Unrepped is not liable for any breaches of contract, nor is it responsible for paying any fees, commissions, or compensations to your agent or agency.

Brands: You are responsible for ensuring fair and legal job postings, payment obligations, and usage rights for content acquired through unrepped. General Users: You must use the platform lawfully and respectfully, refraining from abusive, fraudulent, or misleading behavior.
Talent agents: You are strictly prohibited from using Unrepped to solicit or recruit talent for external agencies; any such activity may result in immediate account termination and may be subject to legal action.

5. Payment & Fees

unrepped may charge service fees for transactions facilitated through the platform. These fees will be disclosed before confirming any booking. Payments are processed via third-party payment providers. unrepped is not responsible for any transaction disputes, failed payments, or chargebacks. Unrepped charges a service fee of ten percent (10%) on all transactions processed through the platform on the talent side. This fee is automatically deducted from the total payment received by the talent for each completed booking.

6. Usage Rights & Licensing

Unless otherwise specified, all bookings made through unrepped include a one-year non-exclusive license for digital and social media usage of the content.

Any additional rights, such as extended usage, print distribution, or exclusivity, must be negotiated separately between the model and brand outside of the platform.

unrepped is not responsible for monitoring or enforcing usage rights beyond the one-year period.

By uploading images or other media to the platform, users grant unrepped the right to use, repost, and share all content related to gigs and talent profiles for promotional and marketing purposes. This includes, but is not limited to, usage on unrepped’s website, social media channels,
newsletters, and other marketing materials.

unrepped also reserves the right to reference and mention participating brands and their associated gigs in marketing communications to highlight platform activity and showcase examples of successful collaborations.

Users are responsible for ensuring they have the appropriate rights and permissions for any content uploaded to the platform.

7. Liability & Disclaimers

unrepped is a neutral platform and does not oversee, control, or guarantee the behavior, performance, or professionalism of users.
unrepped is not responsible for any liabilities, damages, disputes, or claims arising from interactions, contracts, or activities between models and brands. unrepped does not guarantee any bookings, earnings, or results from using the platform.

8. Dispute Resolution

All disputes between users must be resolved directly between the involved parties. unrepped does not mediate disputes but may, at its discretion, assist in providing limited guidance.

Any legal claims against unrepped must be handled through arbitration in Colorado.

9. Account Termination & Violations

unrepped reserves the right to suspend or terminate accounts that violate these Terms & Conditions, engage in fraudulent activity, or misuse the platform.

Users may delete their accounts at any time, but past transactions and obligations will remain enforceable.

10. Modifications to Terms

unrepped may update these Terms & Conditions periodically. Continued use of the platform constitutes acceptance of the revised terms.
